The long answer is a little more complex. The company does not have publicly traded stock although that is one of our goals in the future. Instead, we sell equity positions in our company to investors by private placement. This is governed by Regulation D of the Securities Act of 1933 which demands that any investor, whether an individual, a corporation or a trust, needs to qualify as an "accredited investor."
This term "accredited investor" is defined under the Act. Individually, you are an accredited investor if you:
- Have an individual or joint net worth with your spouse in excess of $1,000,000
- Had an individual income in excess of $200,000 (or $300,000 with your spouse) in each of the last two years.
